Representative work

Mr. Jardine is a U.S. trained attorney and has lived and worked in Romania since 1996. Since that time, he has been involved in many significant privatization, telecommunications, energy, infrastructure, M&A and public-private partnership projects in the SEE region.

Representative transactions encompass legal advice for: Deutsche Bahn AG on the acquisition of ownership by their subsidiary Schenker AG in Romtrans SA (Romania's leading international transporter and freight forwarder) through a private tender offer to the individual shareholders in Romtrans; Trade House "KazMunaiGaz” JSC, Kazakhstan, on the acquisition of a 75% stake in Rompetrol Group N.V.; SC Digital Cable Systems S.A., a Romanian provider of video re-transmission services, on the sale of a 40% company stake through a share capital increase for EUR 45 million to AIG Capital Partners Inc; DEGI Beteiligungs GmbH, the German property investor of Allianz group, on the EUR 100 million acquisition of three office buildings located in Bucharest from ECPC (Cyprus) Ltd; Erste Bank on a transaction involving the sale and swap of shares with employees in Banca Comerciala Romana, as part of the post-privatization process for BCR; UPC on the acquisition of Astral; Coca Cola Hellenic Bottling Company on the acquisition of Dorna mineral water company; Antel on the acquisition of GTS subsidiary companies in five (5) CEE and SEE countries; and the Romanian Ministry of Transportation on legal issues related to the negotiation and drafting of PPP contracts for two highway projects in Romania.
